2020 CIO AGM

In 2020 ACT become a Charitable Incorporated Organisation (CIO). Each year the Board of Trustees who are the legal members of the CIO will hold an AGM.

ACT Annual General Meeting 2019

The final AGM of ACT as an unicoporated association took placed on Saturday 28 September. Details of the meeting and the member vote to support ACT becoming a Charitable Incorporated Organisation are available below.

Notice is hereby given that the 2019 Annual General Meeting (AGM) of the Association for Citizenship Teaching (ACT) will be held at 76 Vincent Square, London, SW1P 2PD at 12 noon.

The AGM is for all members of ACT. The meeting will discuss an important proposal from the ACT Board of Trustees to change the corporate structure of ACT from an unincorporated association to a charitable incorporated organisation (CIO).  ACT will contine to be a registered charity. 

Members are asked to note this proposal involves the winding-up of ACT as an unincorporated association following the tranfer of all assets and liabilities of ACT (including membership subscription monies) to the CIO.

In future the Trustees of the CIO will be the legal 'members' of ACT (with voting rights) and the wider 'subscription members' will become 'associate members' of the CIO (without voting rights). Both legal 'members' and 'associate members' will continue to be referred to as ACT members.

It is intended that the day to day operations of ACT will continue as presently conducted. The resolutions to be voted on at the AGM will cover (amongst others) the matters set out in schedule 1 (AGM agenda).

The Trustees believe the proposal is one of the postive steps being taken by the Board and Chief Executive to take ACT forward and help ensure the charity has a long term future. Further details of the proposal are contained in a rationale set out in schedule 2 (Rationale for changing the legal status of ACT) published below. The legal components of which have been prepared with the support of Milbank LLP, the ACT Board of Trustees' legal advisers.

During the AGM members will have the opportunity to discuss ACT's annual work, report and financial statement. Sign up to attend the AGM and planning meeting.

In addition to the AGM, members are invited to attend a planning discussion with the Board of Trustees, Council and regional Hub Teaching Ambassadors which will begin at 11am.
